INNOVANTENNAS LIMITED DESIGN FILE LICENCE AGREEMENT Terms and Conditions for the Purchase and Download of Digital Antenna Design Files

PLAIN-ENGLISH SUMMARY

One purchase = one antenna, built by you, for you. Everything else needs written permission from InnovAntennas Limited.

What You CAN Do

Build one antenna from the purchased design files for your own personal, non-commercial amateur radio use
Print or copy the files onto paper or storage media for your own use in building that single antenna
Use the design data (element lengths, boom dimensions, matching network details) to construct that one antenna

What You CANNOT Do

Share, upload, email, post, or distribute the design files to anyone — not friends, not club members, not online forums
Share the dimensions or measurements extracted from the files in a way that would allow someone to reproduce the design — posting "here are the element lengths for the G0KSC LFA" on a forum is the same as sharing the file
Build more than one antenna from a single purchase — each antenna you build requires its own licence
Build antennas for other people — whether sold, gifted, or as part of a club project
Build antennas commercially — no manufacturing for sale, no kit-making, no installation service using these files
Use the files in any group, club, educational, or institutional setting where multiple people build from a single purchase
Create, publish, or sell modified or derivative designs based on these files
Remove copyright notices, watermarks, or purchaser identification from any file
Resell, relicence, or transfer the files or your licence to anyone
Publish the full design in any video, blog, article, or tutorial

FULL LICENCE AGREEMENT

1. DEFINITIONS

1.1 In this Agreement, unless the context otherwise requires:

"Agreement" means this Design File Licence Agreement, including all sections, schedules, and any amendments made in accordance with Clause 13.
"Company", "we", "us", or "our" means InnovAntennas Limited (Company No. 07486266, a company registered in England and Wales, whose registered office is at Matrix House, Lionel Road, Canvey Island, SS8 9DE.
"Design Files" means the digital files made available for download following purchase, which may include NEC simulation files, EZNEC files, dimensioned technical drawings, build sheets, cutting data, boom layouts, matching network specifications, materials lists, construction notes, and any accompanying documentation, in any digital format.
"Licence" means the personal-use licence granted under Clause 2.
"You" or "your" means the individual person who purchases and downloads the Design Files.
"Antenna" means a single physical antenna constructed from the Design Files.
"Personal Use" means the construction of a single Antenna by you, for your own private, non-commercial amateur radio use, and for no other purpose.
"Commercial Use" means any use of the Design Files or Antenna that is intended for or directed toward commercial advantage or monetary compensation, including but not limited to manufacturing, kit-making, selling, installing for payment, or incorporating into a product or service offered to others.
"Intellectual Property Rights" means all copyright, design rights (registered and unregistered), trade marks, database rights, confidential information, and any other intellectual property rights subsisting in the Design Files under the laws of the United Kingdom and any other jurisdiction worldwide.

2. GRANT OF LICENCE

2.1 Subject to your compliance with this Agreement and payment of the purchase price, InnovAntennas Limited grants you a personal, non-exclusive, non-transferable, non-assignable, non-sublicensable, revocable licence to:

(a) download the Design Files to a device owned and controlled by you; and

(b) use the Design Files solely for the purpose of constructing a single Antenna for your own Personal Use.

2.2 This Licence is granted to you as an individual. It is not granted to any organisation, club, group, institution, company, or other body with which you may be associated.

2.3 This Licence commences upon successful download of the Design Files and continues until terminated in accordance with Clause 10.

2.4 Any downloading, copying, or use of the Design Files without accepting this Licence constitutes unauthorised use and copyright infringement.

3. PERMITTED USES

3.1 Under this Licence, you are permitted to:

(a) download and store the Design Files on a device owned and controlled by you;

(b) print or reproduce the Design Files in physical form (e.g., printed drawings, written notes) solely for your own use in constructing the single Antenna;

(c) use the design data contained in the Design Files (including element lengths, boom dimensions, matching network details, and materials specifications) to construct one Antenna for Personal Use;

(d) make one backup copy of the Design Files for your own personal archival purposes, provided that the backup copy is not accessible to or shared with any other person.

4. PROHIBITED USES

4.1 You are strictly prohibited from doing any of the following, whether directly or indirectly, whether for payment or free of charge, and whether in the original or any modified form:

Sharing and Distribution

(a) sharing, sending, transmitting, emailing, uploading, posting, publishing, broadcasting, or otherwise distributing or making available the Design Files, in whole or in part, to any other person by any means;

(b) sharing, publishing, or communicating any design data, dimensions, measurements, specifications, or other technical information extracted or derived from the Design Files, in whole or in substantial part, to or with any other person, including via online forums, social media, websites, blogs, videos, articles, presentations, or any other medium, where the information shared is sufficient that the design could be substantially reproduced from it;

(c) making the Design Files available on any file-sharing service, cloud storage service, version control repository, website, forum, or any other platform accessible by others;

(d) permitting any other person to access, view, download, copy, or use the Design Files stored on any device under your control.

Construction Limits

(e) constructing more than one Antenna from a single purchase of Design Files — each Antenna you build requires its own separately purchased Licence;

(f) constructing an Antenna for, or on behalf of, any other person, whether by sale, gift, loan, exchange, or any other arrangement;

(g) using the Design Files in any group, club, association, educational, or institutional context where the files or design data may be accessed, used, or relied upon by more than one person;

(h) pre-cutting, pre-fabricating, or otherwise preparing antenna components, elements, kits, or assemblies based on the Design Files for use by any other person.

Commercial Activity

(i) using the Design Files for any Commercial Use, including but not limited to: manufacturing antennas for sale; producing and selling antenna kits; offering antenna construction or installation services to others; incorporating the designs into any commercial product or service; or using the designs in any business, trade, or profession;

(j) selling, offering for sale, advertising, or promoting any antenna, antenna component, antenna kit, or related product that is based upon, derived from, or substantially similar to the Design Files.

Intellectual Property

(k) modifying, adapting, translating, or creating derivative works based on the Design Files, or publishing any modified or derivative design as your own work;

(l) reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the underlying design methodology, source data, or trade secrets embodied in the Design Files;

(m) removing, altering, obscuring, or defacing any copyright notice, trade mark, watermark, purchaser identification, order reference, or other proprietary notice contained in or on the Design Files;

(n) registering or attempting to register any intellectual property right (including any patent, registered design, or trade mark) in respect of any design, invention, or matter derived from or based upon the Design Files.

Transfer and Resale

(o) selling, licensing, sub-licensing, renting, leasing, lending, assigning, transferring, or otherwise disposing of the Design Files or any rights under this Licence to any other person;

(p) representing to any other person that you have any right to grant or have granted any permission, licence, or right to use the Design Files.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 All Intellectual Property Rights in and to the Design Files are and shall remain the sole and exclusive property of InnovAntennas Limited.

5.2 The Design Files are protected by:

(a) Copyright under the Copyright, Designs and Patents Act 1988 (United Kingdom) as original artistic works (technical drawings, engineering diagrams) and literary works (data files, build sheets, software-related files);

(b) Unregistered Design Right under Part III of the Copyright, Designs and Patents Act 1988 in respect of the shape and configuration of the antenna designs;

(c) Supplementary Unregistered Design Right as provided for under the Registered Designs Act 1949 (as amended), operating as an automatic unregistered right in the United Kingdom; and

(d) all equivalent rights subsisting under the laws of any other jurisdiction worldwide.

5.3 This Agreement constitutes a licence to use the Design Files. It does not constitute a sale of the Design Files or any intellectual property rights therein. You acquire no ownership rights in the Design Files beyond the limited Licence set out in Clause 2.

5.4 All rights not expressly granted to you under this Agreement are reserved by InnovAntennas Limited.

6. FILE WATERMARKING AND IDENTIFICATION

6.1 InnovAntennas Limited embeds purchaser identification (including but not limited to order numbers, purchaser name, and/or email references) within the Design Files provided to you.

6.2 This identification is used for the purposes of: (a) tracing unauthorised distribution back to the source; (b) enforcing this Agreement; and (c) protecting the intellectual property rights of InnovAntennas Limited.

6.3 The removal, alteration, or obscuring of any such identification is a material breach of this Agreement (see Clause 4.1(m)) and may give rise to civil claims for damages and injunctive relief. Where such removal is carried out in the course of commercial-scale infringement, it may also constitute a criminal offence under section 107 of the Copyright, Designs and Patents Act 1988.

7. REFUNDS AND RETURNS

7.1 The Design Files are digital products delivered by instant download upon completion of purchase.

7.2 Due to the nature of digital products, no refund is available once the Design Files have been downloaded.

7.3 If you experience a technical problem that prevents you from downloading the Design Files, please contact us at the address in Clause 14 and we will provide an alternative download method or a full refund, provided that the request is made within 14 days of purchase and the files have not been successfully downloaded.

7.4 If you have downloaded the Design Files but believe they are materially defective (e.g., corrupt files, missing critical data, fundamentally incorrect content), please contact us. We will assess the issue and, at our discretion, provide corrected files or a refund.

8. DISCLAIMERS

8.1 The Design Files contain antenna design data, simulation results, and construction specifications based on the professional expertise of the designer (Justin Johnson G0KSC).

8.2 The performance of any Antenna constructed from the Design Files will depend on numerous factors outside our control, including but not limited to: construction accuracy, materials used, element diameters, boom dimensions, environmental conditions, height above ground, surrounding terrain, feedline quality, and matching network implementation.

8.3 We do not guarantee that an Antenna constructed from the Design Files will achieve any specific performance figures, gain, front-to-back ratio, SWR bandwidth, or other parameter.

8.4 The Design Files are provided for use by individuals with sufficient knowledge and skill to interpret antenna design data and construct antennas safely. You are responsible for ensuring that any Antenna you construct is safe, mechanically sound, and compliant with all applicable regulations and planning permissions.

9. LIMITATION OF LIABILITY

9.1 Nothing in this Agreement excludes or limits our liability for: (a) death or personal injury caused by our negligence; or (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

9.2 Subject to Clause 9.1, our total aggregate liability to you arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the amount paid by you for the Design Files giving rise to the claim.

9.3 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, loss of use, loss of data, loss of goodwill, or any other indirect or consequential loss, arising out of or in connection with this Agreement.

9.4 You acknowledge that the limitation of liability set out in this Clause 9 is reasonable given the nature and price of the Design Files.

10. TERMINATION

10.1 We may terminate this Licence with immediate effect if:

(a) you breach any term of this Agreement (including, without limitation, any of the Prohibited Uses in Clause 4);

(b) we reasonably believe that you have engaged in or intend to engage in any unauthorised use, sharing, or distribution of the Design Files.

10.2 Upon termination of this Licence:

(a) all rights granted to you under this Agreement cease immediately;

(b) you must permanently delete and destroy all copies of the Design Files in your possession or control, including any backup copies;

10.3 Termination does not affect any rights or remedies that have accrued to InnovAntennas Limited prior to termination, including the right to pursue claims for copyright infringement or breach of contract.

10.4 Clauses 1, 5, 8, 9, 10.3, 11, 12, 14, and 16 survive termination of this Licence.

11. CONSUMER RIGHTS

11.1 If you are a consumer (i.e., you are purchasing the Design Files for purposes that are wholly or mainly outside your trade, business, craft, or profession), you have statutory rights under United Kingdom law, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

11.2 Nothing in this Agreement affects those statutory rights.

11.3 Under the Consumer Contracts Regulations 2013, you would normally have a right to cancel a distance contract within 14 days. However, where digital content is supplied and you have expressly consented to begin the download before the end of the 14-day cancellation period, and you have acknowledged that you thereby lose your right to cancel, the right to cancel does not apply. By downloading the Design Files, you confirm that you consent to the supply of the digital content beginning immediately and acknowledge that you lose your right to cancel.

11.4 If you are located outside the United Kingdom, you may have additional or different consumer rights under the mandatory laws of your country of residence, including under Directive (EU) 2019/770 of the European Parliament and of the Council. Nothing in this Agreement overrides those mandatory consumer rights.

12. GOVERNING LAW AND JURISDICTION

12.1 This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

12.2 The parties agree that the courts of England and Wales shall have jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

12.3 This Clause 12 is subject to the mandatory provisions of any applicable consumer protection law that provides otherwise, including Article 17 to 19 of Regulation (EU) No 1215/2012 (Brussels I recast) for consumers domiciled in a Member State, who may bring proceedings in the courts of the country in which they are domiciled.

13. CHANGES TO TERMS

13.1 We may update or amend this Agreement from time to time. Any changes will be published on the InnovAntennas website with an updated version number and date.

13.2 Changes will apply prospectively only. The version of the Agreement in force at the time of your purchase governs your Licence, unless we notify you of a material change and you continue to use or access the Design Files after such notice.

13.3 We will use commercially reasonable efforts to notify existing licence holders of material changes by email.

15. ENTIRE AGREEMENT

15.1 This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

15.2 Each party acknowledges that it has not relied on any statement, representation, or warranty made by the other party that is not set out in this Agreement.

16. SEVERANCE

16.1 If any provision of this Agreement is held by a court or tribunal to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, or if it cannot be so modified, it shall be deemed deleted. The remaining provisions of this Agreement shall remain in full force and effect.
